Terms of Service

Overview

These terms govern your use of Naqi, a desktop application for scanning, auditing, and cleaning up AI agent configurations (MCP servers, memories, skills, and config files). Naqi is developed and published by Yasser's studio. By using Naqi, you agree to these terms.

1. What Naqi Is

Naqi is a desktop app (macOS, Windows, Linux) that scans your machine for AI client configurations, provides a health score and cleanup recommendations, and (with Pro) sends anonymized workspace summaries to an AI provider for deeper analysis. Naqi runs locally and reads and modifies configuration files only with your explicit approval.

2. Tiers and Pricing

Free Tier — $0 forever. Full config scanning, dashboard, health score, local recommendations, scan report export, and versioned backups.

Pro Tier — $14.99 one-time. Adds AI-powered cleanup recommendations (6 providers, BYO key), contradiction detection, one-click batch cleanup, diff preview, undo and restore, and automatic pre-cleanup backups.

The Pro tier is a perpetual license. You pay once and keep access to all current and future Pro features. No subscription, no renewal, no expiration.

3. License Grant

Source code (MIT License): Naqi's source code is released under the MIT License. You are free to use, copy, modify, and distribute it under those terms.

Pro binary license: When you purchase Naqi Pro, you receive a personal, non-exclusive, non-transferable license to use Pro features on up to 3 devices simultaneously. You may not redistribute or resell your license key.

4. Payment and Merchant of Record

All payments for Naqi Pro are processed by Paddle.com, which acts as the Merchant of Record. This means:

  • Paddle handles payment processing, receipts, and invoicing
  • Paddle handles global tax compliance (VAT, GST, sales tax)
  • Naqi never sees or stores your payment information
  • Refund requests are processed through Paddle

Your purchase is subject to Paddle's Terms of Service in addition to these terms.

5. Refund Policy

30-day unconditional refund. If you are not satisfied for any reason, request a full refund within 30 days of purchase. No questions asked.

To request a refund: use the refund link in your Paddle purchase confirmation email, or email hello@getnaqi.com with your order number. On refund, your license key will be revoked.

6. Config File Modifications

Naqi modifies AI client configuration files when you approve cleanup actions. Protections in place:

  • Backup before every change — timestamped copy in ~/.naqi/backups/
  • Diff preview — you see exactly what changes before confirming
  • Undo support — every action can be reversed
  • Validation after changes — invalid JSON triggers automatic rollback
  • No auto-delete — nothing is removed without explicit approval

You are responsible for verifying your AI tools work as expected after cleanup. AI-powered recommendations are suggestions, not guarantees — always review before approving.

7. No Warranty

Naqi is provided “AS IS” without warranty of any kind. We do not guarantee that Naqi will correctly identify all issues, that AI recommendations will be accurate, or that the app will be error-free.

8. Limitation of Liability

Our total liability for any claim is limited to the amount you paid ($14.99 for Pro, $0 for Free). We are not liable for indirect, incidental, or consequential damages including data loss or workflow disruption.

9. Third-Party Services

Naqi integrates with Anthropic, OpenAI, Google, xAI, Ollama, and OpenRouter for optional AI analysis — all user-initiated. It uses Paddle for payment processing. Naqi is not affiliated with or endorsed by any AI client vendor (Anthropic, Cursor, Microsoft, etc.). All product names are trademarks of their respective owners.

10. Governing Law

These terms are governed by the laws of France. Any disputes will be resolved in the courts of France.
